These Terms of Service ("Terms") govern your access to and use of the Smart Facility Labs platform and website (collectively, the "Service") operated by SmartFacilityLabs Pvt Ltd ("SFL", "we", "our", "us"). By accessing or using the Service, you agree to be bound by these Terms.
By registering for or using the SFL platform, you confirm that you are authorised to bind your organisation to these Terms, are at least 18 years of age, and have read and understood this agreement.
Subject to these Terms, SFL grants you a limited, non-exclusive, non-transferable licence to access and use the platform for your organisation's internal facility management operations. You may not:
You retain full ownership of all facility data, sensor readings, operational records and content you upload or generate through the SFL platform. SFL processes this data solely to provide the Service. You grant SFL a limited licence to process your data as necessary to operate and improve the platform.
SFL aims to maintain platform availability at all times but does not guarantee uninterrupted access. We may perform scheduled maintenance, apply security patches or respond to incidents that temporarily affect availability. We will endeavour to provide advance notice of planned downtime where possible.
Platform fees are agreed in a separate Order Form or Service Agreement. All fees are due in accordance with the payment terms specified therein. SFL reserves the right to suspend access for accounts with overdue payments after providing reasonable notice.
Both parties agree to keep confidential any non-public information received from the other party in connection with the Service, and to use such information only for the purpose of performing obligations under these Terms.
All intellectual property rights in the SFL platform, including software, AI models, interfaces and documentation, remain the exclusive property of SmartFacilityLabs Pvt Ltd. Nothing in these Terms transfers any IP rights to you.
To the fullest extent permitted by applicable law, SFL shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the Service. SFL's total liability under these Terms shall not exceed the fees paid by you in the three months preceding the claim.
You agree to indemnify and hold SFL harmless from any claims, damages or expenses arising from your misuse of the platform, violation of these Terms or infringement of third-party rights.
Either party may terminate the Service with 30 days' written notice. SFL may terminate immediately if you breach these Terms. Upon termination, your access will be revoked and your data will be made available for export for 30 days before deletion.
These Terms are governed by the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka.
SFL may update these Terms from time to time. We will notify you of material changes with at least 14 days' notice. Continued use of the Service after the effective date constitutes acceptance.
